SunOpta Announces Early Termination of Hart-Scott-Rodino Act Waiting Period Related to Proposed Acquisition by Refresco

MINNEAPOLIS — SunOpta Inc. (“SunOpta” or the “Company”) (Nasdaq: STKL) (TSX: SOY), a North American supply chain solutions provider, today announced the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR Act”) in connection with the proposed acquisition of the Company by an affiliate of Refresco Holding B.V. (“Refresco”) for US$6.50 per share in cash (the “Arrangement”).

The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Arrangement. The closing of the Arrangement is subject to remaining regulatory clearance or approval, approval by SunOpta’s shareholders and the Ontario Superior Court of Justice, and the satisfaction or waiver of other customary closing conditions.
